IMPORTANT LEGAL INFORMATION

These "Terms and Conditions of Service" define the clauses and conditions under which COLOSSUS CLOUD SERVICES LTD. ("MENU ICI") provides technology and software (including the MENU ICI web application) to facilitate relationships between Users, Restaurants, and Delivery Companies. MENU ICI acts solely as a technological facilitator and is not responsible for the provision or quality of restaurant or delivery services.

Restaurants and Delivery Companies must register on https://alldely.com and comply with its terms.
Markets, supermarkets, bars, canteens, vending machines, warehouses, or similar entities joining MENU ICI are subject to the same rules as Restaurants.
Restaurants must respect copyright, image rights, and ethical limits regarding posted content.
By using the Site, Users accept these Terms and Conditions of Service.
MENU ICI may modify these Terms over time; Users should save them for reference.
Personal data use is governed by MENU ICI's Privacy Policy, compliant with GDPR, CCPA, LGPD, UK GDPR, and other laws.
Governing law and jurisdiction depend on the Restaurant's domicile, with local adaptations in Annexes.

I. GENERAL TERMS OF USE AND SALE

1. INTRODUCTORY STANDARDS AND ROLE OF MENU ICI

MENU ICI is an Irish company (Unit 4a Avonbeg Industrial Estate, Dublin, Ireland).
VAT/EORI number: 3646012OH.
MENU ICI provides SaaS technology enabling Users to place orders with Restaurants and Delivery Companies but is not a party to the food or delivery transactions.

2. ACCESS TO THE SITE AND TERMS AND CONDITIONS

Some Site parts are accessible without registration or order.
Browsing the Site implies acceptance of these Terms.
MENU ICI may modify Terms anytime; Users must comply with current policies when ordering.
Users are responsible for informing others using their internet connection about these Terms.

3. USER STATUS ON THE SITE

Users must be of legal drinking age or authorized by a guardian.
Alcohol sales to minors are prohibited; responsibility lies with Users, Restaurants, and Delivery Persons.

4. ORDER PLACEMENT CONDITIONS AND PREPARATION

Orders are placed by selecting products and confirming via the Site.
Orders cannot be modified or canceled once preparation starts or payment is authorized, except under specific conditions.
Payment authorization is required before processing.
Restaurants may refuse orders for valid reasons; Users will be informed promptly.
Delivery times are indicative; delivery is managed by Restaurants or contracted Delivery Companies.

5. PRICE AND PAYMENT

Prices include taxes but may exclude delivery fees.
Restaurants are responsible for price accuracy.
Payment methods vary by Restaurant and may include card or cash.
Credit card payments may require card presentation at delivery.
Credit notes or discount coupons may apply under specific conditions.
Refunds for refused orders follow banking procedures and may take up to 10 business days.
MENU ICI is authorized to deduct delivery fees automatically from payments.
Promotions and discounts are regulated by MENU ICI.

6. CUSTOMER SERVICE

MENU ICI offers AI-based support; human support is provided by Restaurants or local representatives.
Complaints about products or delivery must be addressed to the Restaurant.
Order modifications or cancellations after submission are subject to Restaurant acceptance.
Users are encouraged to provide feedback via reviews and ratings.
Compensation requests must be made directly to the Restaurant.

7. LICENSE OF USE

Users may use and print Site content for personal, non-commercial use only.
Unauthorized use, reproduction, or modification of Site content is prohibited.
Copyrights belong to Restaurants, MENU ICI, or licensed third parties.

8. SERVICE ACCESS

MENU ICI aims for 24/7 Site availability but does not guarantee it.
Access may be suspended without notice.
Data transmission over the Internet is not fully secure; Users assume risks.

9. USER MATERIALS AND COMMENTS

User-submitted content is non-confidential; MENU ICI may use it freely.
Prohibited content includes illegal, deceptive, offensive, or infringing materials.
MENU ICI may remove content violating policies.
Comments reflect User opinions and do not represent MENU ICI endorsements.
Users indemnify MENU ICI against claims arising from their content.
MENU ICI cooperates with authorities regarding unlawful content.

10. LINKS TO AND FROM OTHER SITES

Links to third-party sites are for convenience; MENU ICI is not responsible for their content.
Linking to MENU ICI's homepage is allowed under specific conditions and may be withdrawn.

11. DISCLAIMER

MENU ICI does not guarantee accuracy or completeness of Site information.
Restaurants are responsible for menu information, including allergen details.
Contracts for products are between Users and Restaurants.
MENU ICI excludes liability for product quality or delivery times.
Exclusion clauses do not affect Users' legal rights.

12. LIABILITY

MENU ICI is not liable for failures in restaurant or delivery services.
Liability is limited to providing accurate Restaurant information.
MENU ICI excludes liability for indirect or consequential losses.
Aggregate liability is capped at the lesser of double the order value or $100.
Users and Restaurants bear responsibility for additional costs related to Site use.

13. TERMINATION

MENU ICI may terminate access for violations of Terms or serious complaints.
Upon termination, Users and Restaurants must delete Site content and uninstall applications.

14. WRITTEN COMMUNICATIONS

Communications are primarily electronic and legally valid.

15. SERVICE COMMUNICATIONS

Users agree to receive necessary service communications and promotional messages per Privacy Policy and law.

16. FORCE MAJEURE EVENTS

MENU ICI is not liable for failures caused by events beyond its control (e.g., strikes, natural disasters, wars).
Obligations are suspended during such events.

17. MISCELLANEOUS AND SUBSEQUENT CLAUSES

Privacy Policy is integral to these Terms.
Invalid clauses do not affect the remainder of the Terms.
These Terms constitute the entire agreement.
Failure to enforce rights is not a waiver.
Assignment of rights requires consent.
Headings are for convenience only.

ANNEX 1 - IRELAND

Governing law: Irish law; courts of Ireland have jurisdiction.
Alcohol sales: Age verification required; liability for sales to minors cannot be excluded.
Customer service: AI support first, local representative second; no mandatory mediation.
Liability limitation: Applies as permitted by law; excludes gross negligence or personal injury.

ANNEX 2 - LUXEMBOURG

Governing law: Luxembourg law; courts of Luxembourg have jurisdiction.
Alcohol sales: License required; sales to minors under 18 prohibited with age checks.
Customer service: AI support and local representative; consumers may escalate to authorities.
Liability limitation: Applies as per Civil Code; exclusions for intentional misconduct invalid.

ANNEX 3 - BRAZIL

Governing law: Brazilian law; consumers may choose forum under Consumer Defense Code (CDC).
Alcohol sales: Prohibited to minors under 18; ID verification required.
Customer service: AI support and local representative via email/phone; complies with CDC.
Liability limitation: Does not apply to consumer harm or defects; joint liability may apply.

ANNEX 4 - FRANCE

Governing law: French law; courts of France have jurisdiction.
Alcohol sales: Prohibited to minors under 18; mandatory age verification on delivery.
Customer service: AI support, local representative, then certified mediator if unresolved.
Liability limitation: Applies as per Civil Code; invalid for gross fault or consumer harm.

ANNEX 5 - UNITED KINGDOM

Governing law: Law of England and Wales (or Scotland/Northern Ireland); UK courts have jurisdiction.
Alcohol sales: License required; sales to minors under 18 prohibited; Challenge 25 policy applies.
Customer service: AI support and local representative; complies with Consumer Rights Act 2015.
Liability limitation: Applies if reasonable under Unfair Contract Terms Act 1977; excludes death or injury due to negligence.

BY ACCEPTING THESE TERMS, I DECLARE THAT I HAVE READ, UNDERSTOOD AND ACCEPTED THE TERMS OF USE AND THE PRIVACY POLICY PRESENTED IN THIS DOCUMENT.
